BYLAW OF CCSA

Approved by General Assembly in December 18, 2002

CHAPTER 1. GENERAL PRINCIPLES
Article 1. The name of CCSA shall be "China Communications Standards Association" and may be known by the acronym"CCSA".

Article 2. China Communications Standards Association (hereafter referred to as CCSA) is a non-profit society of legal person carrying out technical standardization on communications. This Association is a voluntary organization consisting of local enterprises and organizations in China, which is approved by the government Authority and registered in the State Society Registration Administration.

Article 3. The membership of CCSA shall consist of any enterprises and organizations, such as R&D institutes, design institutes, manufacturers, network operators, universities and other societies.

Article 4. CCSA shall abide by the state laws, codes and policies, and accept the supervision of Ministry of Civil Affairs. The activities of CCSA shall be guided and supervised by the Ministry of Information Industry of China.

Article 5. CCSA shall follow the principle of'Openness, Fairness, Justness and Consensus' in conducting its standardization activities. CCSA hopes to contribute to the development of national telecommunications industry through the standards R&D and technical consultation.

Article 6. The headquarter of CCSA is located in Beijing, China.

CHAPTER 2. SCOPE OF ACTIVITIES

Article 7. Entrusted by the Authority, CCSA shall carry out its standardization activities in the domain of communications technology. Its scope of activities shall cover:

(1) To promulgate the state laws, regulations and policies on standardization; to delivery the opinions and requirements of its members to the relevant authorities in order to facilitate the communication between its members and the authorities;

(2) To carry out research and survey activities of communications standardization system, making suggestions of establishing/revising the projects of communications standards; to organize its members into participating in such activities as drafting standards, soliciting comments, coordination, verification, standards consistency testing, and interconnection and interworking testing;

(3) To promote the implementation of communications standards through carrying out related activities, such as promulgation of communications standards, consultation, service and training;

(4) To organize national and international communications technical seminars as well as activities of cooperation and exchanges; to collect and analyze national and international communications standards and related information to support standardization activities.

(5) To undertake work related to standardization commissioned by the Authority, its members and other organizations.

CHAPTER 3. MEMBERSHIP

Article 8. The membership of CCSA is only applied to organizations. Any organization with qualification of legal persons approved by the State, such as R&D institutes, design institutes, manufacturer, network operators, universities and other societies, as well as joint ventures, can voluntarily apply for the membership. They shall be approved to become the member by the Council of CCSA as long as they accept the Bylaw of CCSA, undertake a member's obligations and pay membership dues on a regular basis.

Article 9. Rights of a member shall include:

(1) Right of electing and being elected and the right of voting;

(2) Right of participating in the Association's meetings and other activities;

(3) Right of drafting standards and submitting papers at its participated technical working committees;

(4) Right of obtaining periodical work papers and official standards publication;

(5) Right of making comments and suggestion to the Association and supervising the Association.

Article 10. Obligations of a member shall include:

(1) Obligation of implementing the resolutions approved by CCSA;

(2) Obligation of protecting the legal rights of CCSA and its achievements;

(3) Obligation of participating in the verification, spreading and implementation of the standards;

(4) Obligation of paying membership dues according to the Rules;

(5) Obligation of carrying out the task assigned by CCSA.

Article 11. Admission to Membership

(1) Following documents shall be submitted to CCSA:

A written application
The documents of its legal person
Documents of self-introduction
(2) Once these documents have been verified by the Secretariat of CCSA and submitted to the Council for approval, a membership will be granted;

(3) Once membership is granted, a member shall pay the dues and a membership certificate will be issued by the Secretariat of CCSA.

Article 12. A member may resign from CCSA by submitting a written application, and then the membership certificate shall be returned to CCSA.

After the receipt of the written resignation application, the Secretariat shall process the within five working days, however the membership dues shall not be refunded.

Article 13. A member shall be expelled from CCSA through the vote by the Council if:

(1) A member violates Bylaw and Rules of CCSA;

(2) A member doesn't qualify for the membership due to its status change and doesn't resign itself;

(3) A member fails to pay membership dues for more than two months after the deadline.

Once the member is expelled from CCSA, its membership dues shall not be refunded. Moreover, the member can only apply for the new membership again after a period of one year.

CHAPTER 4. FORMATION OF ORGANIZATION AND ELECTION AND DISMISSAL OF OFFICIALS

Article 14. General Assembly The General Assembly shall be the highest authority of CCSA. The General Assembly (hereafter referred to as the Assembly) shall have the following authorities:

(1) To establish and revise the Bylaw of CCSA;

(2) To elect and dismiss the members of the Council;

(3) To review working reports and financial reports of the Council;

(4) To decide on dissolution affairs;

(5) To decide on other important affairs;

Article 15. The Assembly can only be convened with presence of at least 2/3 of member and a resolution can only be valid with more than half of the votes from the members.

Article 16. The Council The Council shall be the body that acts on behalf of the General Assembly and conduct routine work between General Assembly meetings. The Council shall be accountable to the Assembly. The functions and powers of the Council shall be:

(1) Implementing resolutions passed by the Assembly;

(2) Electing and dismissing the Chairman and Vice Chairman the Council, and Secretary-General;

(3) Making preparations for convening the Assembly;

(4) Reporting to the Assembly on the working progress and financial status;

(5) Deciding to set up office, branch, agency and entity organization;

(6) Deciding to appoint deputy secretary-general and director of each office;

(7) Deciding to accept or expel a member;

(8) Formulating internal administrative systems;

(9) Making decisions on other important affairs;

Article 17. The members of the Council are elected by the Assembly, which usually serves for a term of four years.

The Council meeting shall be held once or twice a year and in special situations. Meeting can be held by teleconference. The Council meeting shall be held when more than 2/3 of the Council members present and any resolutions shall be valid with at least 2/3 of votes from the Council members present at the meeting.

Failure to attend the Council meetings for twice consecutive shall be considered as giving up the rights of a Council member automatically.

Article 18. Qualifications for the Chairman, Vice Chairman and Secretary-General:

(1) The person who must adhere to policies and regulations of the Communist Party of China and have good political conscience;

(2) The person who has a major influence in the field of communications industry;

(3) The incumbent age of the Chairman, Vice Chairman of the Council and Secretary-General shall not exceed 70 years old and the Secretary-General shall be a full-time job;

(4) The person who shall possess excellent health and be able to work normally;

(5) The person who shall not have any criminal records

(6) The person who shall have qualification according to law.

Article 19. The Chairman of the Council has following functions and powers:

(1) To convene and preside at the Council meetings;

(2) To exam the implementation of resolutions passed by the Assembly and the Council;

(3) To sign important documents on behalf of CCSA;

(4) To decide upon the important issues presented by the secretariat which need to make decision in time.

Article 20. Functions and Powers of the Secretary-General include:

(1) To conduct routine business and help to implement the annual working plan;

(2) To help to implement the resolutions passed by the Assembly and the Council;

(3) To coordinate activities among different bodies of CCSA;

(4) To nominate Deputy Secretary-General and officials of different bodies of CCSA for the Council to decide;

(5) To decide upon the employment of full-time staff in different bodies of CCSA;

(6) To handle other daily activities relevant to CCSA

Article 21. The Secretary-General of CCSA shall be the legal representative of CCSA and shall not be the legal representative of any other organization concurrently.

Article 22. According to domains of communications industry, CCSA shall set up Technical Committees and Subcommittees with responsibility for organizing members to carry out standard R&D, the Advisory Committee with responsibility for technical coordination and consultation, and Secretariat as a routine business office.

CHAPTER 5. ASSETS MANAGEMENT AND USAGE PRINCIPLES

Article 23. The income of CCSA shall come from the following sources:

(1) Membership dues;

(2) Social endowment and financial assistance;

(3) Governmental financial assistance;

(4) Income from technical activities or services conducted in the approved business scope;

(5) Interest;

(6) Other legal income;

Article 24. CCSA shall collect membership dues in compliance with the relevant rules of the state.

Article 25. The income of CCSA shall be concentrically managed and the special funds shall be used only for the specified items of CCSA. Strict accounting administrative system shall be set up to ensure the legality, truthfulness, accuracy and completeness of the accounting data. Well-qualified accountants shall be employed to carry out auditing and supervisions.

Article 26. The assets management of CCSA shall comply with the state-prescribed financial administrative system and shall accept the supervision of the Assembly, state financial administrations and auditing administrations. Annual budgets and final accounts shall be compiled and financial reports on the income and expenditure shall be submitted regularly to the Assembly.

Article 27. The assets of CCSA shall not be seized, privately distributed or embezzled by any other organization or individual.

Article 28. Before CCSA is up for a new term or the legal representative is to be replaced, CCSA must accept the auditing from Society Registration Administration and the relevant Authority.

Article 29. The salary, insurance and welfare of the full-time employees of CCSA shall follow the rules of non-profit organizations given by the State.

CHAPTER 6. AMENDMENTS OF BYLAW

Article 30. Any amendments of Bylaw of CCSA must be firstly passed at the Council meeting before being submitted to the Assembly for approval.

Article 31. The amended Bylaw of CCSA must, within 15 days after the approval by the Assembly, be submitted to the relevant Authority for review and grant. Only after approval by the Society Registration Administration, the amended Bylaw can come into effect.

CHAPTER 7. DISSOLUTION PROCEDURE & ASSET HANDLING AFTER DISSOLUTION

Article 32. In the event of dissolution of CCSA, due to either the completion of its mission or a voluntary dismissal, the Council shall propose the dissolution motion.

Article 33. The dissolution motion shall be approved by the Assembly, and then submitted to the relevant Authority for review and approval.

Article 34. Before the dissolution of CCSA, under guidance of the relevant Authority and some related bodies a liquidation team shall be set up to settle the assets and liabilities of CCSA and other remaining issues. During the period of liquidation, no other activities shall be engaged in.

Article 35. The dissolution of CCSA shall come into effect once its registration in the Civil Affairs Ministry has been cancelled.

Article 36. After the dissolution of CCSA, the remaining assets shall be, under the supervision of the relevant Authority and the Society Registration Administration, used for the purposes that are related to the mission of CCSA in compliance with state related rules.

CHAPTER 8. SUPPLEMENTARY ARTICLES

Article 37. Bylaw was approved by the Assembly in December 18th, 2002.

Article 38. The right of explanation of Bylaw belongs to the Council;

Article 39. Bylaw shall come into effect upon the approval by the Society Registration Administration.
